My Virtual Scribe (MVSPlus)

  1. Acceptance of Terms By accessing or using the website at myvirtualscribe.us (the “Site”) or any related services, content, or features (collectively, the “Services”), you agree to these Terms of Use (“Terms”) and our Privacy Policy. If you do not agree, do not use the Site or Services. These Terms apply to all visitors, prospective clients, and applicants.
  1. Description of Services My Virtual Scribe (MVSPlus) operates as an employment and staffing agency. We recruit, screen, train, and place qualified remote virtual medical scribes and virtual assistants with healthcare practices. Our placed personnel provide administrative and documentation support services under the direction and supervision of the client practice. We also provide HIPAA compliance training and certification for our staff. 
  1. Eligibility You must be at least 18 years of age and legally able to enter into these Terms. If you engage our Services on behalf of a medical practice or entity, you represent that you have authority to bind that entity.
  1. Client Responsibilities Clients are solely responsible for:
  • Supervising all placed personnel and providing them with appropriate system access and work instructions.
  • Ensuring compliance with all applicable laws, including HIPAA, state privacy laws, and professional standards within their practice environment.
  • Entering into any required Business Associate Agreements or other agreements directly with placed staff or as otherwise required by law.
  • Maintaining the accuracy, security, and legality of all patient information and clinical operations.

MVSPlus does not access, handle, store, or process Protected Health Information (PHI) on behalf of clients.

  1. Nature of Relationship and PHI MVSPlus acts solely as a staffing and employment agency. Placed personnel are either employees or independent contractors of MVSPlus but perform all work under the client’s direction, policies, and systems. MVSPlus and its staff do not handle PHI. Any access to patient information by placed staff occurs exclusively within the client’s controlled environment and under the client’s compliance obligations. Clients remain fully responsible for all PHI-related activities and HIPAA compliance.
  1. Confidentiality and Staff Training MVSPlus maintains strict internal confidentiality standards. All staff complete HIPAA compliance training and sign confidentiality agreements before placement. However, because staff work within the client’s systems and environment, the client bears primary responsibility for protecting patient information and enforcing its own confidentiality and security policies.
  1. Intellectual Property All content on the Site is owned by My Virtual Scribe (MVSPlus) or its licensors. You may not copy, modify, or distribute Site content without prior written permission. Work product created by placed staff is governed by the client’s agreements with MVSPlus and the client’s internal policies.
  1. Prohibited Conduct You may not use the Site or Services to violate any law, infringe third-party rights, attempt unauthorized access, transmit harmful code, or interfere with the Site’s operation. Placed staff must comply with all client policies and applicable laws while performing services.
  1. Disclaimers The Site and Services are provided “as is.” MVSPlus makes no warranties regarding uninterrupted or error-free operation. Our Services consist of personnel recruitment, training, and placement only. We do not provide medical advice or clinical services. Clients are responsible for all clinical decisions, documentation quality, billing accuracy, and regulatory compliance within their practices.
  1. Limitation of Liability To the fullest extent permitted by law, My Virtual Scribe (MVSPlus), its officers, employees, and agents shall not be liable for indirect, incidental, special, consequential, or punitive damages, or loss of profits, data, or business opportunities. Our aggregate liability shall not exceed the fees actually paid by the client to MVSPlus in the twelve (12) months before the claim arose.
  1. Indemnification You agree to indemnify and hold harmless My Virtual Scribe (MVSPlus) from claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising from your use of the Site or Services, your violation of these Terms, your failure to comply with applicable laws or professional obligations, or the acts or omissions of placed personnel while under your supervision.
  1. Termination We may suspend or terminate access to the Site or Services at any time. Provisions regarding confidentiality, disclaimers, limitation of liability, and indemnification shall survive termination.
  1. Governing Law and Dispute Resolution These Terms are governed by the laws of the State of California. Any disputes shall be resolved exclusively in the state or federal courts located in Ventura County or Los Angeles County, California.
  1. Modifications We may update these Terms at any time. Continued use of the Site after changes are posted constitutes acceptance of the revised Terms.
  1. Entire Agreement These Terms, together with our Privacy Policy and any separate written staffing or placement agreements, constitute the entire agreement between the parties.
